231 MODEL

Legislative Decree No. 231 of 8 June 2001 introduced the principle of liability of entities and companies into our legal system.

Legislative Decree No. 231 of 8 June 2001 introduced into the Italian legal system the administrative liability of companies for certain offences committed, in their interest or to their advantage, by directors, employees and/or collaborators in general, with consequent pecuniary and prohibitory sanctions against the companies themselves.

In order to ensure, as far as possible, the prevention of the commission of the offences contemplated in the Decree, EST CHEMIE SRL has adopted its Organisation and Management Model and set up a collegial Supervisory Body, endowed with autonomous supervisory and control powers, with the task of ensuring and monitoring compliance with the aforementioned ethical principles by the Recipients of the Code of Ethics and Model 231. Any reports of behaviour or situations that may constitute violations of applicable laws or regulations or of company procedures or actions that are not compatible with ethically correct behaviour may be sent to the email address odv@groupchemie.it or by letter/enclosed envelope to Organismo di Vigilanza C/o EST CHEMIE SRL VIA A. GRAMSCI 31 20881 BERNAREGGIO (MB).

GENERAL PART
The principles and rules expressed in Model 231 are consistent with those provided for in the Code of Ethics, an integral part of this Model 231, which expresses the lines and principles of conduct aimed at preventing the offences referred to in Legislative Decree 231/01.a
ETHICAL CODE

Whistleblowing: adjustment of whistleblowing channel.

On 15.03.2023, Legislative Decree No. 24/2023 Implementing Directive (EU) 2019/1937 of the European Parliament and of the Council of 23 October 2019 on the protection of persons who report breaches of Union law and laying down provisions concerning the protection of persons who report breaches of national laws (so-called Whistleblowing) was published in the Official Gazette No. 63 of 15.03.2023.
Article 24 of Legislative Decree no. 24/2023 provides that organisational models pursuant to Legislative Decree no. 231/01 must provide for internal reporting channels, prohibition of retaliation and a disciplinary system.
In addition, Article 5 provides for clear information on the channel, procedures and prerequisites for making internal reports, and that the aforementioned information be displayed and made easily visible in the workplace, as well as accessible to persons who, although not frequenting the workplace, have a legal relationship.
